Terms of Use

1. The service and these Terms

The covered services are the Tools hub, Invoice Generator, Quote & Estimate Generator, Purchase Order Generator and Delivery Note Generator under /tools/, including access redirected from the historical Invoice Generator address. Generator names are features of NineBrief Inc., not separate businesses.

Read these Terms before using the tools. They govern the covered free-tool service to the extent an agreement is formed under applicable law; they do not replace unrelated agreements for other NineBrief services or remove mandatory rights. Questions can be sent to legal@ninebrief.com.

2. What the Free Tools provide

You can enter document details, preview supported output, use the available calculations and adjustments, retain a browser working draft, and download or print documents. Quote and Estimate are modes of one generator. Supported conversions are Quote/Estimate to Invoice and Purchase Order to Delivery Note.

The current Free Tools require no account, subscription or tool-usage fee. These Terms do not authorize charging you for a currently free editing or downloading action. Any future paid service requires separately disclosed commercial terms and any necessary affirmative acceptance.

The tools do not provide a cloud document library, cross-device synchronization, scheduling, automatic reminders or email delivery, payment collection, inventory records, government tax submission or identity-verified electronic signatures. A roadmap, waitlist or description of another NineBrief product does not make those features part of the current Free Tools.

3. Authority and acceptable use

Use the tools only when legally able to do so and with authority to act for the business or person whose document you prepare. Use information, logos and instructions you are entitled to use and obtain the approvals your transaction requires.

Do not knowingly create fraudulent or materially deceptive documents, impersonate another business, forge payment or delivery evidence, infringe rights or use the tools for unlawful transactions. Do not introduce malware, attempt unauthorized access, exploit the service or deliberately overload it. CSP reporting endpoints are for browser security diagnostics, not general document uploads.

Report a suspected vulnerability to legal@ninebrief.com with a redacted explanation or synthetic example, without accessing other people's information.

4. Your content and the documents you create

As between you and NineBrief, you retain your rights in the content and information you provide. Creating a document does not transfer ownership of your business records to NineBrief. You may download, print and share output for legitimate personal or business purposes, including transactions with your customers. Current output does not require a NineBrief watermark.

NineBrief retains its rights in its own branding, website interface and materials. Applicable third-party and separately distributed open-source licenses continue to govern their components; these Terms do not revoke rights granted by those licenses. Do not misrepresent your business or product as NineBrief.

Browser-local editing does not give us a general license to publish or sell your documents or train AI models on their contents. If you voluntarily email material, share only what is necessary and what you are authorized to disclose.

5. Review every document before issuing it

You are responsible for the parties, authority, document number, dates, currency, quantities, prices, tax treatment, discounts, payment instructions and other statements in a document you issue. Check the preview and the final output. Input validation does not establish that a transaction happened, that payment was received or that a document meets every legal or business requirement.

• Currency and rounding: selecting a currency does not convert currencies. Calculations retain the established rounding policy; display precision is not proof of currency-specific accounting treatment. Observe precision warnings and verify amounts before sharing.
• Numbering: document numbers are editable fields, not a central numbering registry. Prevent duplicates across devices, tabs and other systems.
• Payment: an entered amount paid or a Paid status is not verification by NineBrief that money was received. The free editor does not process that payment.
• Quotes and estimates: a document alone does not establish contract acceptance. Applicable agreements and law determine its effect. An Estimate label does not override applicable consumer protections.
• Purchase orders: a Purchase Order records purchasing instructions; it is not a supplier invoice or proof of payment.
• Delivery notes: a Delivery Note records stated fulfilment details; it is not a tax invoice, receipt or proof that an unsigned delivery occurred. A printed acknowledgement field is not an identity-verified signature service.
• Language: changing interface language does not guarantee translation of every generated-document label or every formatting convention.

The tools do not provide legal, tax or accounting advice. Seek qualified advice where needed. Creating a PDF with NineBrief does not submit it to Kenya's tax authority or establish compliance with an electronic-invoicing or government-clearance requirement. Use the required official or approved system when your obligations demand it.

6. Working drafts, limits and backups

The tools keep one browser working draft per document family; Quote and Estimate share one. They do not promise permanent archives, version history, cloud backup or access from another device.

Drafts may become unavailable through browser-data deletion, privacy settings, profile/device changes, quota limits, overwriting or browser/device failure. Do not assume simultaneous tabs are coordinated collaborative editing or that edits will be merged by an atomic write protocol. Check the save status.

Keep an editable JSON backup and final PDFs or other business records as appropriate. PDF output is not a substitute for an editable JSON backup. Browser storage can fail below the tool's practical per-draft budget.

The tools reject certain unsupported imports and preserve available unreadable bytes for recovery, retry or confirmed reset. Those protections do not guarantee repair of every file or recovery of information the browser has lost. A recovery download is unvalidated and may be confidential. Resetting or clearing storage may remove the only working copy available to the tool.

7. Conversions and replacement choices

Quote/Estimate conversion creates a draft, unpaid Invoice. A requested deposit does not become a received payment. Review its new identity, dates, amounts and terms before issuing it.

Purchase Order conversion requires review of quantities delivered now. Ordered quantity is not automatically treated as delivered quantity. Check mapped sender/recipient roles and references. This workflow does not maintain a continuing inventory or outstanding-delivery ledger.

Conversions use temporary browser-tab handoffs, not permanently linked cloud records. Expired or interrupted transfers may need to be recreated. Read replacement prompts and export any existing destination draft you need to keep before authorizing replacement.

8. Imports, printing and external systems

Choose import files carefully. Supported-file validation does not verify the truth of the source document. Browser PDF and printing depend on device, fonts, page size, margins and destination settings. Check that all rows, pages, totals and notes are present.

Copy actions use your device clipboard and may interact with clipboard history or sync. Sending an exported document through email, messaging, shared storage or another service is a separate action you take. NineBrief does not verify the recipient or guarantee delivery or payment through the Free Tools. Those external systems and device services have their own terms and privacy practices.

9. Availability, changes and responsibility

The free service has no contractual uptime or support-response guarantee. Maintenance, security work, browser compatibility, provider incidents and changes to supported features or limits can affect availability. We may restrict access where reasonably necessary to address misuse, protect the service or comply with law, subject to applicable rights and required notice.

To the extent permitted by law, the tools are provided as available and as is, without a promise of uninterrupted or error-free operation, compatibility with every device, or fitness for a particular legal, accounting or tax purpose. You should check output and maintain suitable backups.

Nothing in these Terms excludes or restricts a liability, statutory warranty, remedy, consumer right or data-protection right that cannot lawfully be excluded or restricted. The free nature of the tools does not remove mandatory protections. These Terms do not impose a contractual monetary liability cap, compulsory arbitration, class-action waiver or blanket indemnity.

10. Privacy and other NineBrief services

The Free Tools Privacy Policy explains local document handling and the distinct processing of website, font, security-report and correspondence information. A privacy notice is not blanket consent to optional tracking or future uploads.

Other NineBrief services may operate differently. Following a main-site link or choosing an account service later does not silently change the local-first editor or authorize upload of an existing browser draft. Material changes must be separately explained with any legally required choices or agreement.

11. Kenyan law and resolving concerns

These Terms are governed by the laws of Kenya. Subject to any mandatory right to bring a matter elsewhere, disputes relating to these Terms or the Free Tools may be brought before the courts of competent jurisdiction in Nairobi, Kenya, on a non-exclusive basis.

You may raise a concern with legal@ninebrief.com, NineBrief Inc., Nairobi, Kenya. Contacting us first is not a condition for seeking urgent relief, using an available court or complaining to the ODPC or another competent regulator. It does not extend a statutory filing deadline. Applicable non-waivable protections remain available.

12. Updates to these Terms

Published updates will identify the version and effective date. Material changes will be communicated with the notice or agreement required by law. An update does not retroactively authorize new uses of locally created documents or remove mandatory rights. If a provision is unenforceable, it applies only to the lawful extent possible; the remainder continues so far as the law permits.
